Terms of the Exchange
1. The Exchange is a listing and introduction service operated by Agnihotri & Jha Associates® ("the Firm"). Listing an IP right on the Exchange does not transfer or license it; every sale or licence is completed by a written assignment or licence agreement between the owner and the acquirer, and recorded with the appropriate registry.
2. The person listing an IP right warrants that they are its registered proprietor (or duly authorised by the proprietor), that the right is subsisting and not subject to any undisclosed encumbrance, dispute or licence, and that the particulars supplied are true.
3. The Firm may verify particulars against public registers, request documents, decline or withdraw any listing, and edit a listing's description for accuracy. The owner's identity is not displayed publicly and is disclosed only to a prospective acquirer with the owner's consent.
4. The Firm charges no commission, brokerage or success fee on the consideration. Where a sale or licence results, the Firm is engaged to prepare the legal documentation of the transaction — the title opinion, the deed of assignment or licence agreement, and its recordal with the appropriate registry (Form TM-P, Form 16 or the applicable form) — and its professional fees for that documentation, quoted before the documents are drawn up, are payable by the parties as agreed in the engagement. No fee is payable if no transaction results.
5. Listing on the Exchange is free of charge.
6. Prospective acquirers must carry out their own due diligence. The Firm does not warrant the validity, value or enforceability of any listed right and is not a party to the transaction unless separately engaged to draft or negotiate it.
7. Personal data supplied is processed for operating the Exchange and for the Firm's legal services, in accordance with the Digital Personal Data Protection Act, 2023.
8. These terms are governed by the laws of India; courts at Mumbai have exclusive jurisdiction.
